PARTICIPANT AGREEMENT & LIABILITY WAIVER

Mahogany Gallery New York City Experience

This Participant Agreement & Liability Waiver (“Agreement”) is entered into by the undersigned participant (“Participant”) and Mahogany Gallery (“Organizer”), including its officers, directors, employees, contractors, volunteers, sponsors, partners, and affiliates.

By booking or participating in the Mahogany Gallery New York City Experience (“Experience”), Participant agrees to the following terms:

1. NATURE OF EXPERIENCE

The Experience includes curated cultural activities such as private events, guided tours, receptions, studio visits, transportation coordination, and related programming in New York City between February 20–22 (dates subject to change).

Participant understands that activities may take place at third-party venues and locations not owned or controlled by Mahogany Gallery.

2. ASSUMPTION OF RISK

Participant voluntarily assumes all risks, known and unknown, associated with participation in the Experience, including but not limited to:

  • Travel-related risks (air, ground, walking, transportation delays)

  • Personal injury, illness, or accident

  • Property loss or damage

  • Acts or omissions of third parties

  • Environmental, weather, or venue conditions

Participant acknowledges participation is entirely voluntary.

3. RELEASE OF LIABILITY

To the fullest extent permitted by law, Participant releases and holds harmless Mahogany Gallery, its affiliates, partners, sponsors, vendors, venues, and agents from any and all claims, demands, causes of action, damages, losses, or expenses arising out of or related to participation in the Experience, including claims of negligence.

4. INDEMNIFICATION

Participant agrees to indemnify and defend Mahogany Gallery against any claims, liabilities, damages, or costs (including attorney’s fees) arising from:

  • Participant’s actions or omissions

  • Violation of this Agreement

  • Injury or damage caused by Participant to others or property

5. THIRD-PARTY SERVICES & VENUES

Mahogany Gallery may coordinate or recommend third-party services (travel providers, venues, restaurants, transportation).
Participant acknowledges:

  • Mahogany Gallery does not control these third parties

  • Mahogany Gallery is not responsible for their acts, omissions, cancellations, or service failures

6. NO GUARANTEE OF ACCESS

Access to specific venues, artists, or experiences is subject to availability, security protocols, and venue discretion. Mahogany Gallery reserves the right to modify the itinerary without liability.

7. MEDICAL DISCLAIMER

Participant certifies they are physically and mentally able to participate.
Mahogany Gallery assumes no responsibility for medical treatment. Participant is responsible for personal medical insurance and expenses.

8. CODE OF CONDUCT

Participant agrees to conduct themselves professionally and respectfully.
Mahogany Gallery reserves the right to remove any participant, without refund, whose behavior is disruptive, unsafe, or damaging to the experience or reputation of the organization.

9. CANCELLATION & REFUNDS

All bookings are non-refundable, unless explicitly stated otherwise in writing.
Mahogany Gallery is not responsible for costs incurred due to participant cancellation, travel disruption, or force majeure events.

10. PHOTO, VIDEO & MEDIA RELEASE

Participant grants Mahogany Gallery the irrevocable right to photograph, film, or record participation and to use such media for marketing, promotional, and archival purposes without compensation.

11. FORCE MAJEURE

Mahogany Gallery shall not be liable for delays or cancellations due to events beyond its control, including but not limited to natural disasters, government actions, public health emergencies, labor disputes, or acts of God.

12. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Wisconsin, without regard to conflict-of-law principles.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior communications. Any modification must be in writing and signed by Mahogany Gallery.

ADDENDUM A

SIGNATURE TRAVEL PARTICIPATION & LIABILITY DISCLAIMER

This Addendum (“Addendum”) is incorporated into and made part of the Participant Agreement & Liability Waiver for the Mahogany Gallery New York City Experience (“Agreement”). In the event of any conflict, this Addendum shall control with respect to matters involving Signature Travel.

1. ROLE OF SIGNATURE TRAVEL

Participant acknowledges that Signature Travel serves solely as an independent travel coordination partner and may assist with accommodations, transportation recommendations, scheduling logistics, and optional travel-related services.

Signature Travel does not own, operate, or control any venues, events, exhibitions, restaurants, transportation providers, or activities associated with the Experience.

2. NO LIABILITY FOR TRAVEL SERVICES

Participant expressly agrees that Signature Travel, including its owners, employees, agents, contractors, and affiliates, shall not be liable for any injury, loss, delay, inconvenience, damage, expense, or claim arising from or related to:

  • Air travel, ground transportation, or lodging

  • Cancellations, delays, or schedule changes

  • Acts or omissions of third-party vendors or service providers

  • Weather conditions, force majeure events, or governmental actions

  • Illness, injury, or property loss during travel or participation

All travel-related risks are assumed entirely by the Participant.

3. RELEASE & HOLD HARMLESS

To the fullest extent permitted by law, Participant releases, waives, and holds harmless Signature Travel from any and all claims, demands, damages, actions, or causes of action arising out of or related to:

  • Travel arrangements or recommendations

  • Participation in the Experience

  • Acts or omissions of third parties

This release includes claims based on negligence, whether active or passive.

4. NO GUARANTEE OF AVAILABILITY

Participant acknowledges that all travel services are subject to availability and external factors beyond the control of Signature Travel. Signature Travel makes no guarantees regarding pricing, access, accommodations, or availability of services.

5. INDEMNIFICATION

Participant agrees to indemnify and defend Signature Travel against any claims, liabilities, damages, or costs (including attorney’s fees) arising from Participant’s actions, omissions, or breach of the Agreement or this Addendum.

6. NO AGENCY OR JOINT VENTURE

Nothing in this Agreement or Addendum shall be construed as creating a partnership, joint venture, or agency relationship between Mahogany Gallery and Signature Travel. Each entity operates independently.

7. GOVERNING LAW

This Addendum shall be governed by and interpreted in accordance with the laws of the State of Wisconsin, consistent with the main Agreement.

8. ACKNOWLEDGMENT

By signing the Participant Agreement, Participant confirms that they have read, understand, and agree to the terms of this Addendum.

Day Two

Guests are invited to a privately guided tour of the Studio Museum of Harlem, offering insider curatorial perspectives on exhibitions shaping the canon of Black art. This experience is designed for thoughtful dialogue, learning, and reflection within one of the most significant cultural institutions in the country.

RARE ARTIST ACCESS
PRIVATE STUDIO VISIT

The weekend concludes with a private studio visit and meet & greet with artist Guy Stanley Philoche.

Guests will step inside the artist’s creative space, explore works in progress, and engage in intimate conversation about process, inspiration, and collecting.

  • No. Travel to and from New York is at the expense and discretion of the individual.
    Travel to each event venue is at the expense of the individual.

    We recommend each guests to plan to utilize public transportation or rideshare servics (Uber, Lyft, Taxi) to travel to and from each venue.
