Artist Exhibition Agreement

The undersigned (“Artist”) hereby lends to Mahogany Gallery (“Gallery”) the artwork (“Work”) listed below (in “Artwork Inventory”) subject to the terms and conditions set forth in this loan agreement.

Loan Agreement
artist gives permission for Mahogany Gallery to represent and present artist’s work in the group exhibition.

1. Consignment period between Artist and Gallery: 
Commencing upon signature of artist consignment agreement and ending one month after the end of the exhibition.

2. Gallery’s commission on artwork sales is 60%. Artist will be guaranteed 40% from art sales. The Artist will receive a check from Mahogany Gallery for the art sales within 30 days from the exhibition closing. the payment schedule is contingent on the timely receipt to Mahogany Gallery from the buyer. .

3. Gallery will be responsible for shipping/delivering the Work to the, including ensuring the Work for risk of loss or damage during shipment/delivery.

4. Gallery will be responsible for shipping/retrieving the work back to the artist , including ensuring the Work for risk of loss or damage during shipment/retrieval. 

5. Gallery will return any unsold Work to Artist within 30 days of the termination of the consignment period, unless other exhibition arrangements have been made and agreed upon between gallery and artist.

6. Gallery is not responsible for Work left after 60 days of termination of the consignment period, unless other arrangements have been made with Mahogany Gallery to hold the Work after the consignment period.

7. Artist may not remove Work from the premises during the consignment period.

8.  Work that is sold during the show will be marked as sold but remain on display for the duration of the show.  Work will be transferred to buyer at the completion of the show, upon full payment. 

9. Work that is not sold in Indianapolis during the exhibition period, shall be retained by Mahogany Gallery for the next exhibition opportunity, or until the artist requests the work back. The gallery retains the right to continue to market the work for sale between formal Exhibitions.

II. Insurance
8. Mahogany Gallery will insure the Work for any loss or damage while the Work is in the Gallery’s possession. 

9. If Artist chooses to maintain his/her own insurance, Artist must instruct his/her broker to provide the Gallery with either a certificate of insurance with Mahogany Gallery and Four Leaf Enterprises LLC listed as additional insureds.

III. marketing / promotion
Artist and gallery are to both market and promote the artist, gallery and the art event on social media platforms and other marketing.

IV. Image Release
10. Gallery may photograph the Work to be used for promotions of the exhibition, for documentation and archive purposes, and for Gallery’s promotion of its exhibition programming. Gallery may share the images of artwork with press and other affiliates connected with the promotions of the exhibit and the Gallery in general. 

11. Title of the Work will be listed and Artist credited for the artwork when images of the artwork are used in any platform and format. 

12. Gallery and its affiliates may obtain pre-existing images of the Work from third parties if necessary to use in ways mentioned above. 

V. Care
13. Gallery will exercise the same care with respect to the Work as it does with respect to comparable property of its own. The Work WILL NOT be unframed, removed from mats, mounts or bases unless permission is granted by the Artist. Gallery may add additional hardware to ensure the security of the Work during installation. The Gallery may replace faulty pre-existing screws, nails or hanging hardware to ensure the security of the Work being installed. Gallery WILL NOT make intrusive additions to the frame and Work, such as drilling, adding screws, nails, hangers, without the permission of the Artist. 

14. Gallery will not undertake any conservation or preservation treatment or otherwise alter the Work without prior consent of the Artist except in the case of an emergency requiring immediate intervention to prevent serious damage to the Work or any other work of art. In the event that the Work is altered in any way, Gallery will notify Artist immediately by telephone and subsequently in writing. The expense of conservation or preservation treatment, including but not limited to framing, will be the responsibility of the Artist, and can be deducted from Artist’s commission.

VI. Reimbursement of Representation Expenses

The Gallery shall be responsible for its ordinary operating expenses associated with conducting its business.

The Gallery may incur reasonable and necessary expenses specifically related to the representation, promotion, exhibition, transportation, installation, sale, or professional development of the Artist's work ("Allowable Representation Expenses"). Such expenses may include, but are not limited to:

• Professional photography and documentation;

• Custom framing or presentation prepared for exhibition or sale;

• Shipping, freight, insurance, and art handling;

• Travel and lodging directly related to exhibitions, installations, or collector presentations;

• Exhibition production costs;

• Printing of catalogs, brochures, or promotional materials dedicated to the Artist;

• Art fair participation fees or booth-related expenses attributable to the Artist;

• Installation and deinstallation costs;

• Conservation or restoration services approved by the Artist; and

• Other mutually agreed-upon expenses incurred specifically for the Artist's benefit.

The Gallery may recover Allowable Representation Expenses from proceeds generated through the sale of the Artist's work, commissions, licensing agreements, or other revenue directly related to the Artist. Unless otherwise agreed in writing, reimbursement shall occur before the calculation and distribution of net sales proceeds.

The Gallery shall maintain reasonable documentation of all reimbursable expenses and shall provide an itemized accounting to the Artist upon request or at the time reimbursement is deducted.

The Gallery shall make commercially reasonable efforts to minimize expenses and shall not incur costs that are excessive, unnecessary, or unrelated to advancing the Artist's professional interests.

Should this Agreement terminate while unreimbursed Allowable Representation Expenses remain outstanding, the Artist agrees to reimburse the Gallery for those stated expenses.

VII. Post-Exhibition Sales and Protected Collector Relationships

The Artist acknowledges that the Gallery invests substantial time, resources, and professional relationships in promoting the Artist's work, introducing collectors, and developing sales opportunities.

Accordingly, if an original artwork is sold by the Artist directly to a collector, institution, corporation, designer, consultant, or other purchaser who was first introduced to the Artist or the Artist's work through the Gallery, or who became aware of the Artist through a Gallery exhibition, art fair, marketing effort, private viewing, or other Gallery-sponsored event, the Gallery shall remain entitled to its standard commission on such sale.

This obligation shall apply to any qualifying sale completed within twelve (12) months following the close of the applicable exhibition or, if this Agreement has terminated, within twelve (12) months following the effective date of termination.

The Artist agrees to promptly notify the Gallery of any inquiry or purchase request received from a Gallery-Introduced Client and shall process such transaction through the Gallery whenever reasonably practicable. If the parties mutually agree that a direct transaction is appropriate, the Artist shall remit the Gallery's applicable commission within fifteen (15) days of receiving payment.

This provision shall not apply to collectors, institutions, or purchasers with whom the Artist had a documented, pre-existing business relationship prior to the Gallery's representation, nor shall it apply to opportunities independently developed by the Artist without material involvement or contribution from the Gallery.

The purpose of this provision is to protect the goodwill, relationships, and business opportunities cultivated through the Gallery's efforts while preserving the Artist's ability to continue building an independent professional practice.
